Senior Counsel

Remote (U.S. preferred)

Intro

We are building shared financial infrastructure that enables businesses to create and operate their own branded digital currencies. Our platform allows builders to customize key attributes such as branding, transfer logic, compliance frameworks, and incentive mechanisms.

By leveraging this infrastructure, businesses can unlock new revenue streams from digital currency use cases while retaining control over their financial stack—without taking on the complexity of issuance and ongoing operations.

We are seeking an experienced and highly capable corporate lawyer to play a critical role in our next phase of growth. This is not just a legal execution role—you will act as a strategic partner to the business, helping design and scale the legal foundations of a complex, fast-evolving company.

About the Role

Reporting to senior leadership, you will serve as the most senior legal advisor and own the legal function end-to-end. Your scope will span corporate governance, commercial agreements, regulatory strategy, product counseling, risk management, and strategic initiatives.

You will operate across multiple levels—advising executives on long-term strategy while also leading detailed execution on critical transactions and internal processes. As the company grows, you will play a key role in building and developing the legal team.

Key Responsibilities

  • Own and build the legal function: Lead legal strategy across corporate, commercial, product, regulatory, and compliance areas
  • Lead strategic transactions: Structure and execute M&A, investments, joint ventures, and other complex initiatives from diligence through closing
  • Own high-impact commercial agreements: Draft and negotiate bespoke agreements with sophisticated counterparties across finance, technology, and digital assets
  • Drive corporate governance: Oversee entity structuring, corporate records, governance processes, and global filings
  • Partner cross-functionally: Work closely with finance, operations, product, and business teams to solve complex problems and support key initiatives, including equity and token-related matters

Qualifications

  • J.D. from an accredited law school
  • Active membership in good standing with a U.S. state bar
  • 7+ years of relevant legal experience, including training at a leading law firm in corporate or transactional law
  • In-house experience at a high-growth technology company strongly preferred
  • Demonstrated experience leading complex corporate and commercial transactions in technology, payments, or financial services

  • Familiarity with legal considerations in digital assets, blockchain, or decentralized systems
  • Background in regulated financial services or exposure to financial regulatory frameworks
  • Experience with complex financial instruments, collateral arrangements, or insolvency-related considerations
